================================================================================
1.1 "QWAD" / "Company"

managers, officers, employees, agents, contractors, licensors, and
assigns. QWAD's digital properties, including qwadapp.com and the Qwad
mobile application and its APIs (collectively, the "Platform"), are
operated exclusively by QWAD.
1.2 "User" / "You"
Any individual who installs, accesses, downloads, or otherwise uses any
portion of the Software or Services, whether or not a registered
account has been created.
1.3 "Software"
All programs, applications, code (source and object), scripts,
libraries, APIs, updates, patches, upgrades, documentation, and any
other software products provided by QWAD, whether accessed via
download, cloud hosting, or any other distribution mechanism.

All features, functionalities, platforms, networks, websites,
communications tools, support channels, and any other products or
service offerings provided or operated by QWAD, including future
features not yet released.
1.5 "User Data"
Personal information and User Content (defined in Section 3.1) that
You provide to QWAD or that is generated by Your use of the Software
or Services, as described in QWAD's Privacy Policy.
1.6 "Community Guidelines"
QWAD's Acceptable Use Policy, available in the app under Profile >
Legal & Support > Community Guidelines and at
https://qwad-public.s3.us-east-1.amazonaws.com/QWAD_LLC_Acceptable_Use_Policy.txt,
which is incorporated into this Agreement by reference.
================================================================================
2. GRANT OF LICENSE
================================================================================
Subject to Your continuous compliance with all terms of this Agreement, QWAD
grants You a limited, non-exclusive, non-transferable, non-sublicensable,
revocable license to access and use the Software and Services solely for
Your personal, non-commercial use.
This license does not include any right to: (a) copy, reproduce, or
distribute the Software; (b) modify, adapt, translate, reverse-engineer,
decompile, disassemble, or create derivative works of the Software;
(c) rent, lease, lend, sell, sublicense, assign, or otherwise transfer the
Software or any rights therein; (d) remove, alter, or obscure any
proprietary notices; or (e) use the Software for any commercial purpose not
expressly authorized in writing by QWAD.
================================================================================
3. USER CONTENT & DATA
================================================================================
3.1 Your Content
You retain ownership of the content You submit through the Software --
Your profile information and photo, display name, group names, and
chat messages ("User Content"). QWAD does not claim ownership of User
Content.
3.2 Limited License to QWAD
You grant QWAD a worldwide, non-exclusive, royalty-free license (with
the right to sublicense solely to the service providers that host and
operate the Services on QWAD's behalf) to host, store, reproduce,
transmit, display, and adapt (for example, resizing an image) User
Content solely to the extent necessary to: (a) operate, provide,
secure, maintain, and support the Services; (b) display User Content
to the Users You choose to interact with, such as the members of Your
Qwad; (c) enforce this Agreement and the Community Guidelines,
including automated and human content moderation; and (d) comply with
applicable law and legal process.
3.3 Duration of the License
The license in Section 3.2 ends when You delete the relevant User
Content or Your account, except that: (a) chat messages You have
already sent to a group remain visible to its members, attributed to
"Deleted User", until they expire under QWAD's retention schedule
(currently forty (40) days after sending); (b) copies held in routine
backups are removed in the ordinary course (within thirty-five (35)
days); and (c) QWAD may retain User Content that is the subject of a
user report, a legal obligation, or an enforcement action for as long
as reasonably necessary for that purpose.
3.4 Aggregated and De-identified Data
QWAD may create and use aggregated or de-identified information
derived from use of the Services (for example, the number of Qwads
formed in a city) to analyze, improve, and promote the Services and
for any other lawful purpose, provided that such information does not
identify You and QWAD does not attempt to re-identify it.
3.5 What QWAD Does Not Do With Your Data
QWAD does not sell Your personal information, does not share it with
data brokers, does not use it for third-party advertising, and does
not use Your User Content or personal information to train
artificial-intelligence or machine-learning models. Automated content
moderation uses third-party processing services (currently Amazon Web
Services, including Amazon Rekognition and, where enabled, Amazon
Comprehend) that act only on QWAD's instructions, are bound to protect
Your data to at least the standard described in QWAD's Privacy Policy,
and do not use Your content for their own purposes. QWAD's collection
and use of personal information is described in the Privacy Policy,
which controls in the event of any conflict with this Agreement on
privacy matters.
3.6 Your Responsibility for User Content
You are solely responsible for Your User Content and represent that
You have all rights necessary to submit it and to grant the license in
Section 3.2, and that it complies with the Community Guidelines.
3.7 Feedback
If You choose to send QWAD suggestions or feedback about the Services,
QWAD may use them without restriction or obligation to You.
================================================================================
4. INTELLECTUAL PROPERTY
================================================================================
All right, title, and interest in and to the Software, Services, Platform,
all underlying technology, all improvements to the Software or Services
conceived or developed by QWAD, and all associated intellectual property
rights (including patents, copyrights, trademarks, trade secrets, and any
other proprietary rights) are and shall remain the exclusive property of
QWAD, LLC. This Section does not apply to User Content, which is governed by
Section 3.
Nothing in this Agreement grants You any rights in or to QWAD's intellectual
property except for the limited, revocable license set forth in Section 2.
================================================================================
5. DISCLAIMER OF WARRANTIES
================================================================================
THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT
WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QWAD
EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR
OTHERWISE, INCLUDING WITHOUT LIMITATION (A) ANY IMPLIED WARRANTY OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR
ACCURACY; (B) ANY WARRANTY THAT THE SOFTWARE OR SERVICES WILL BE UNINTERRUPTED,
ERROR-FREE, SECURE, OR VIRUS-FREE; AND (C) ANY WARRANTY ARISING FROM COURSE OF
DEALING, USAGE OF TRADE, OR CUSTOM. NO ORAL OR WRITTEN INFORMATION OR ADVICE
GIVEN BY QWAD OR ITS REPRESENTATIVES SHALL CREATE ANY WARRANTY.
================================================================================
6. LIMITATION OF LIABILITY
================================================================================
6.1 Exclusion of Consequential Damages
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL QWAD OR ITS
MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS,
OR ASSIGNS (THE "QWAD PARTIES") BE LIABLE TO YOU OR ANY THIRD PARTY
FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY,
PUNITIVE, OR ENHANCED DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE,
BUSINESS, GOODWILL, DATA, OR ANTICIPATED SAVINGS, EVEN IF SUCH QWAD
PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A
REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
6.2 Aggregate Cap
TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF ALL
QWAD PARTIES ARISING OUT OF OR RELATED TO THIS AGREEMENT, THE SOFTWARE,
OR THE SERVICES -- REGARDLESS OF THE FORM OF ACTION AND WHETHER IN
CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR
OTHERWISE -- SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY
YOU TO QWAD IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR
(B) FIFTY U.S. DOLLARS (USD $50.00).
6.3 Essential Basis
You acknowledge that the limitations of liability in this Section 6
reflect a fair allocation of risk and form an essential basis of the
bargain between the parties. QWAD would not have entered into this
Agreement without such limitations.
6.4 User's Assumption of Risk
You expressly assume all risks associated with Your use of the Software
and Services, including interactions with other Users, whether online
or in person. QWAD does not conduct background checks on Users. Use
good judgment and the safety tools described in Section 13 when
meeting people You have connected with through the Services.
================================================================================
7. INDEMNIFICATION
================================================================================
You agree to defend, indemnify, and hold harmless QWAD and each of its
members, managers, officers, employees, agents, contractors, licensors,
successors, and assigns (each, an "Indemnified Party") from and against any
and all claims, demands, actions, causes of action, damages, losses, costs,
liabilities, and expenses (including reasonable attorneys' fees and court
costs) incurred by any Indemnified Party arising out of or related to:
* Your use or misuse of the Software or Services;
* Your violation of this Agreement, the Community Guidelines, or any
applicable law or regulation;
* Your infringement of any third-party intellectual property or other
rights;
* Any User Content You submit, transmit, or otherwise provide through
the Software or Services;
* Any dispute between You and any other User or third party;
* Your fraud, willful misconduct, or gross negligence.
QWAD reserves the right, at its own expense, to assume exclusive defense and
control of any matter subject to indemnification by You, and You agree to
cooperate fully with QWAD in any such defense.
================================================================================
8. DISPUTE RESOLUTION, BINDING ARBITRATION & CLASS ACTION WAIVER
================================================================================
8.1 Mandatory Arbitration
EXCEPT AS SET FORTH IN SECTION 8.4, ALL DISPUTES, CONTROVERSIES, OR
CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE SOFTWARE, OR
THE SERVICES -- INCLUDING THOSE REGARDING ITS FORMATION, EXISTENCE,
VALIDITY, BREACH, TERMINATION, OR INTERPRETATION -- SHALL BE RESOLVED
EXCLUSIVELY THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION
ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") UNDER ITS
CONSUMER ARBITRATION RULES, AS MODIFIED BY THIS SECTION 8.
8.2 Class Action & Jury Trial Waiver
YOU HEREBY IRREVOCABLY WAIVE ANY RIGHT TO: (A) PARTICIPATE IN A CLASS
ACTION LAWSUIT OR CLASS-WIDE ARBITRATION; (B) ACT AS A PRIVATE ATTORNEY
GENERAL; (C) JOIN CLAIMS WITH OTHER USERS; OR (D) A TRIAL BY JURY FOR
ANY DISPUTE WITH ANY QWAD PARTY. IF ANY PORTION OF THIS WAIVER IS FOUND
UNENFORCEABLE, THE REMAINING PORTIONS SHALL CONTINUE IN FULL FORCE AND
EFFECT.
8.3 Arbitration Procedures
Arbitration shall be conducted by a single neutral arbitrator in the
State of Delaware or, at either party's election, by video conference.
The arbitrator's award shall be final and binding and may be entered
as a judgment in any court of competent jurisdiction. QWAD shall bear
filing fees for arbitration claims up to USD $10,000; for claims above
that threshold, fees shall be allocated in accordance with AAA rules.
8.4 Exceptions
Either party may seek emergency injunctive or other equitable relief in
a court of competent jurisdiction to prevent actual or threatened
infringement, misappropriation, or violation of that party's
intellectual property or confidential information. Either party may
also bring an individual claim in small-claims court if it qualifies.
8.5 Informal Resolution
Before initiating arbitration, You shall provide QWAD with written
notice of the dispute by email to support@qwadapp.com and thirty (30)
days to resolve it informally. If QWAD does not resolve the dispute
within that period, You may commence arbitration.
================================================================================
9. GOVERNING LAW & JURISDICTION
================================================================================
This Agreement shall be governed by and construed in accordance with the laws
of the State of Delaware, without regard to its conflict-of-laws provisions.
Subject to the arbitration provisions of Section 8, You consent to the
exclusive personal jurisdiction and venue of the state and federal courts
located in the State of Delaware for any action permitted to proceed in
court.
================================================================================
10. TERM & TERMINATION
================================================================================
This Agreement is effective upon Your first use of the Software or Services
and shall remain in effect until terminated. You may terminate it at any
time by deleting Your account in the app (Profile > Delete Account). QWAD
may, at its sole discretion and without prior notice, terminate or suspend
Your access to the Software or Services for any violation of this Agreement
or the Community Guidelines, or where required by law.
Upon termination, all licenses granted to You herein immediately cease, and
the license You granted to QWAD ends as described in Section 3.3. All
provisions that by their nature should survive termination shall survive,
including Sections 3.3 (Duration of the License), 3.4 (Aggregated Data),
4 (Intellectual Property), 5 (Warranties Disclaimer), 6 (Limitation of
Liability), 7 (Indemnification), 8 (Arbitration), 9 (Governing Law), and
this Section 10.
================================================================================
11. PRIVACY & DATA SECURITY
================================================================================
QWAD's Privacy Policy, available in the app under Profile > Legal & Support
and at
https://qwad-public.s3.us-east-1.amazonaws.com/QWAD_LLC_Privacy_Policy.txt,
is incorporated herein by reference and describes what information QWAD
collects, how it is used, how long it is kept, and how You can delete it.
In the event of any conflict between this Agreement and the Privacy Policy
concerning the collection, use, retention, or deletion of personal
information, the Privacy Policy controls. You acknowledge that no data
transmission over the Internet or electronic storage system can be
guaranteed to be 100% secure.
================================================================================
12. CHILDREN & AGE RESTRICTIONS
================================================================================
The Software and Services are intended for individuals aged 18 years and
older. If You are under the age of 18 (or the applicable age of majority in
Your jurisdiction), You may not use the Software or Services. By using the
Software or Services, You represent and warrant that You are at least 18
years of age. If QWAD discovers that a User is under 18, QWAD will terminate
that User's access immediately and delete their account.
================================================================================
13. OBJECTIONABLE CONTENT, ABUSIVE USERS & PROHIBITED CONDUCT
================================================================================
13.1 Zero-Tolerance Policy
QWAD has zero tolerance for objectionable content and abusive users on
the Software and Services. "Objectionable Content" includes, without
limitation, content that is unlawful, defamatory, harassing,
threatening, hateful, discriminatory, sexually explicit, or
exploitative of minors, or that promotes violence, self-harm, or
illegal activity. "Abusive Users" means any User who creates, posts,
or transmits Objectionable Content, or who harasses, threatens,
stalks, or abuses any other User. The complete list of prohibited
content and conduct is set forth in the Community Guidelines
(Section 1.6).
13.2 Prohibited Conduct
You agree not to:
* Use the Software or Services for any unlawful or unauthorized purpose;
* Interfere with or disrupt the integrity or performance of the Software,
Services, or related systems;
* Attempt to gain unauthorized access to any portion of the Software,
Services, or related systems, or to any other User's account;
* Use any automated means, including bots, scrapers, or crawlers, to
access the Software or Services without QWAD's prior written consent;
* Upload or transmit viruses, malware, or other harmful code;
* Circumvent or attempt to circumvent any access controls, security
features, content filters, or geographic restrictions;
* Impersonate any person or entity or misrepresent Your affiliation with
any person or entity;
* Violate any applicable local, state, national, or international law or
regulation.
13.3 Content Moderation, Reporting & Blocking
The Software provides the following safeguards:
(a) Filtering. Every chat message, display name and group name is
screened by an automated content filter before it is stored or
shown to other Users, and every uploaded profile photo is
screened by automated image analysis. Content the filter blocks
is never delivered; repeated filter hits are logged for review.
Automated screening is not perfect, and QWAD does not guarantee
that all Objectionable Content will be caught -- which is why the
reporting tools below exist.
(b) Reporting. Users may report any other User (including their
profile photo), any individual chat message (long-press the
message), or any group directly within the Software. Reports are
recorded and sent to QWAD's moderation team immediately.
(c) Blocking. Users may block another User from a chat, from a
group's member list or from a profile. Blocking immediately
hides the blocked User's messages from the blocking User,
prevents either User from being matched with the other again,
stops delivery of messages between them, and notifies QWAD of
the block for review.
(d) Removal. Users may delete their own messages at any time and may
leave any group at any time; deleted messages are removed for all
members immediately.
(e) Contact. QWAD's contact information is displayed in the app
under Profile > Legal & Support (support@qwadapp.com) so that any
User can report inappropriate activity directly.
13.4 Enforcement Timeline
QWAD reviews every report within twenty-four (24) hours of receipt.
Where a report of Objectionable Content or an Abusive User is
substantiated, QWAD will, within that same twenty-four (24) hour
period, remove the offending content and eject the responsible User
by suspending or terminating their account and access to the
Software. Ejected Users' messages are removed from all groups and
they are removed from matching. This commitment is subject to the
disclaimers and limitations of liability set forth in Sections 5 and
6 of this Agreement.
================================================================================
14. UPDATES & MODIFICATIONS TO THIS AGREEMENT
================================================================================
QWAD reserves the right to modify this Agreement by posting an updated
version at the "Current copy" address shown at the top of this Agreement
(also reachable in the app under Profile > Legal & Support > Terms of Use)
and updating the "Last Updated" date. For material changes QWAD will also
notify You by email or in-app notice. Continued use of the Software or
Services following the posting of changes constitutes Your acceptance of the
revised Agreement. If You do not agree to any modification, Your sole remedy
is to cease use of the Software and Services and delete Your account.
================================================================================
15. GENERAL PROVISIONS
================================================================================
15.1 Entire Agreement
This Agreement, together with the Privacy Policy and the Community
Guidelines, constitutes the entire agreement between You and QWAD
relating to the subject matter herein and supersedes all prior
agreements and understandings.
15.2 Severability
If any provision of this Agreement is found to be unenforceable, that
provision shall be modified to the minimum extent necessary to make it
enforceable, and the remaining provisions shall remain in full force and
effect.
15.3 No Waiver
QWAD's failure to enforce any right or provision of this Agreement shall
not constitute a waiver of that right or provision. Any waiver of any
provision of this Agreement shall be effective only if in writing and
signed by an authorized representative of QWAD.
15.4 Assignment
You may not assign this Agreement or any rights or obligations hereunder
without the prior written consent of QWAD. QWAD may assign this
Agreement in connection with a merger, acquisition, or sale of all or
substantially all of its assets, in which case the Privacy Policy will
continue to govern Your personal information.
15.5 Force Majeure
QWAD shall not be liable for any delay or failure to perform resulting
from causes outside QWAD's reasonable control, including acts of God,
natural disasters, government actions, pandemics, cyberattacks, or
failures of third-party service providers.
15.6 Relationship of Parties
Nothing in this Agreement shall be deemed to create a partnership, joint
venture, agency, employment, or franchise relationship between the
parties.
15.7 Headings
Section headings are for convenience only and shall not affect the
interpretation of this Agreement.
15.8 Electronic Acceptance
You agree that Your electronic acceptance (by checking the consent box
at sign-up, installing, or using the Software) shall have the same
legal force and effect as a written signature.
15.9 Notices & Contact
Notices to QWAD, and questions regarding this Agreement, may be sent
to: QWAD, LLC -- support@qwadapp.com. QWAD may send notices to the
email address associated with Your account or by in-app notice.
================================================================================
